Terms of service
Draft — pending review by a solicitor. Not yet in force.
These terms are the agreement between you and Fyle when you use the Fyle website, web app, desktop apps, command-line tool, MCP server and API. They explain what we provide, what we expect of you and of the AI agents you run, how billing works and what happens when you leave.

1.About these terms
Fyle is provided by [Company name] Ltd, registered in England and Wales, company number [number], with its registered office at [Registered office address] ("Fyle", "we", "us"). By creating an account or using Fyle you agree to these terms. If you use Fyle for an organisation, you confirm you can accept these terms on its behalf, and "you" includes that organisation.
These terms work together with our privacy policy, cookie policy, acceptable use policy and data retention policy. Business customers also agree to our data processing agreement. Enterprise customers may have a signed contract; where it conflicts with these terms, the signed contract wins.
If you are a consumer (using Fyle mainly for personal purposes, not for a business), you have legal rights under UK consumer law, including the Consumer Rights Act 2015. Nothing in these terms takes those rights away.
2.What Fyle is
Fyle is a cloud file system. Your files appear as an ordinary folder on macOS, Windows and Linux, download when you open them, and are stored in the cloud with a version history. People and AI agents can work on the same files through the folder, the fyle command-line tool, an MCP server or the API, under the same permissions.
Fyle is in development. Features, plans and prices may change before and after launch. We will tell you in advance about changes that materially reduce what you are paying for.
3.Your account
- You must be at least 18 to create an account.
- Give us accurate details and keep your email address up to date: we send security and billing notices there.
- Keep your password and two-factor codes secret. You are responsible for activity on your account, including activity by devices you have approved and agents you have started.
- Tell us straight away at security@fyle.sh if you think someone else has access to your account.
4.Organisations, roles and who controls data
Everything in Fyle belongs to an organisation. When you sign up you get a personal organisation that only you can use. You can also create or join team organisations.
In a team organisation, the organisation (through its owners and admins) controls the files and settings in it. Admins can invite and remove members, change roles, set security policies such as session length and two-factor requirements, decide what agents may do, and see version history and audit records. If you leave or are removed, the files you created in that organisation stay with the organisation.
The organisation is responsible for having a lawful basis to put people's personal data into Fyle and for answering its members' data requests. For that data we act on the organisation's instructions as its processor, under our data processing agreement.
5.AI agents
Fyle lets you run AI agents (for example Claude Code, Codex or your own programs) on your files. An agent you start acts on your behalf: you are responsible for what it does, the same as if you had done it yourself.
- Agents started with
fyle agentwork in their own session. Their changes are recorded separately and land according to your organisation's policy; changes based on an out-of-date file, or that touch protected paths, become a branch for a person to review. - A program working directly in your Fyle folder, without an agent session, writes as you.
- Agent credentials are scoped and short-lived. Don't share them, and revoke any you no longer need.
- We don't check what your agents produce. Review their changes before relying on them.
- Content in your files is treated as data, never as instructions to Fyle. Agents you run may still act on what they read; choose and configure them with care.
6.Your content
You keep all rights in the files and other content you put into Fyle. You give us a limited licence to store, copy, transmit and process that content only as needed to run Fyle for you: for example to store versions, sync them to your devices, and show them to the people and agents you have given access to.
We don't look at your file content except where you ask us to (for example in a support request), where it is needed to keep Fyle secure or to investigate a breach of our acceptable use policy, or where the law requires it.
You are responsible for having the rights to the content you upload and for keeping your own copies of anything you can't afford to lose. Fyle keeps version history, but it is not a substitute for your own backup arrangements.
7.Bring your own storage (Enterprise)
Enterprise customers can store file content in their own S3-compatible bucket. In that case your contract with your storage provider is yours: you pay them directly, and you are responsible for the bucket's availability, location, access controls and the provider's own retention settings. We store only the credentials reference and the metadata Fyle needs to coordinate your files.
8.Acceptable use
You must follow our acceptable use policy, and make sure the people and agents in your organisation do too.
9.Plans and payment
- Current plans and prices are on our pricing page. Prices for UK consumers include VAT; other customers pay any taxes due in their country.
- There is no free plan or free trial. Your subscription starts, and you are charged, when you subscribe.
- Subscriptions renew automatically each month or year until cancelled. Team plans are charged per member seat, with a minimum of 2 seats.
- If a payment fails we will tell you and retry. Fyle keeps working during a short grace period; if payment still fails, the subscription ends and the data retention timeline applies.
- We will give you at least 30 days' notice of a price increase. You can cancel before it takes effect.
- Payments are processed by Stripe. We never see or store your full card number.
10.Cancelling and leaving
You can cancel at any time from the billing page in the dashboard. Your plan stays active until the end of the period you have paid for. We don't refund partial periods, except where the law requires it.
After a subscription ends your files are not deleted straight away. You get 30 days of read-only access to download everything, then the account is locked, and content is deleted 90 days after the end. The data retention policy sets out each stage. Enterprise contracts can set a different timeline.
11.Availability and support
We work to keep Fyle available and your files safe, but we can't promise it will be uninterrupted or error-free. Planned maintenance will be announced where practical. Service levels and support response times are only guaranteed where an Enterprise contract says so.
Support is by email at support@fyle.sh.
12.Suspension and termination
We may suspend or limit an account, a device or an agent credential if it is needed to protect Fyle, other customers or the public, for example in a security incident, after a serious breach of these terms, or when the law requires it. Where we can, we will tell you first and give you a chance to fix the problem.
We may end these terms with 30 days' notice, or straight away for a serious or repeated breach. When they end, the data retention timeline applies unless the law or a serious breach (for example illegal content) requires otherwise.
13.Our software and feedback
Fyle's software, website and brand belong to us or our licensors. You may use the desktop apps, CLI and MCP server only to access Fyle under these terms. If you send us feedback or ideas, we may use them without any obligation to you.
14.Our responsibility to you
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.
If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care. We are not responsible for business losses, because Personal plans are for personal use.
If you are a business: we are not liable for loss of profit, revenue, goodwill or anticipated savings, or for indirect or consequential loss. Our total liability in any 12 months is limited to the fees you paid us in those 12 months.
15.Changes to these terms
We may update these terms. For material changes we will email account owners at least 30 days before they take effect. If you don't agree, you can cancel before then. The date at the top of this page shows when the terms last changed.
16.Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
